1 General
These terms relate to business carried out under the name of Designaplant or Designaplant Limited. All payments should be made out in favour of Designaplant Limited. The company registered address is 2-3 Cursitor Street, London, EC4A 1NE. The company number is 4180201.
Any dispute shall be settled under English Jurisdiction and in English courts.
General terms may not be varied other than in writing by a director of Designaplant. 
All plants and materials supplied under this agreement remain the property of Designaplant. The company can provide plants for sale under a separate sale agreement.


2 Agreement Length and Cancellation
Standard term agreements are for an initial period with a subsequent period lasting until cancellation by either party. The initial period is for 12 months unless stated otherwise. There is no customer right of cancellation during the initial period other than arising from a failure by Designaplant to provide the agreed services. Cancellation must be in writing and providing a minimum 30 days notice. 
Short period agreements. Short period agreements will not automatically be renewed. The customer has no right of cancellation with a short term contract unless specifically agreed in writing by Designaplant.

3 Payment terms
Credit terms are strictly as detailed overleaf.

If payment is not received within the stated credit term or the customer becomes bankrupt, insolvent, enters into administration or similar then Designaplant reserve the rights to:

1. Charge interest on late payments at 8% over current base rate, as allowed by the Late Payment of Debts (Interest) Act 1998.
2.  Immediately cancel the contract whether it is in the initial or subsequent period.
3. Remove all plants and other materials from the customers premises. 
4.  Designaplant may share information on client payment performance with third parties whether the client is a sole trader, partnership or limited company.

 
4 Designaplant obligations
Designaplant agree to:

1. To provide plants, containers and display items as agreed.
2. To maintain and care for the plants and replace any as required in a timely manner to maintain an interesting and attractive display
3. NOT to alter the price and credit terms provided within the fixed term or initial period of the contract. Thereafter, and following 2 months written notice, Designaplant reserve the right to alter either.
4. To take all possible care in order to provide healthy plants forming an attractive display.

5 Customer obligations
The customers agrees to:

1. Pay the amounts contracted within the set credit period.
2. Provide reasonable access to Designaplant staff to deliver, maintain and remove plants. Reasonable access is considered to be 9am-5pm Monday to Friday unless alternate arrangements are made.
3. Maintain the plants in a temperature between 5º C.
4. Not to add any substances or liquids to the plant container or to spray the plant other than as agreed with Designaplant.
5. Not to move the plants and other items to any other location(s) or allow any other party to do so without the prior agreement of Designaplant
6. Not to sell the plants and other items or allow them to become the subject of a charge, debenture or similar.
7.  It is the duty of the customer to ensure the suggested locations for the plants does not cause any problems of employee safety (e.g. does not impede exit in an emergency).

6 Limit of liability
Designaplant have public liability insurance. Plants are living items. Designaplant whilst taking all reasonable care are not required to provide any refund or make payment should a plant die or loose its attractive appearance providing it is replaced in a timely manner. Designaplant are not liable should any infection spread from a Designaplant owned plant to any others.
